Difference Between AOC-4 and MGT-7 / MGT-7A
Although both forms are annual ROC filings, they serve different purposes:
AOC-4
Used for filing financial statements and related financial disclosures of the company.
MGT-7 / MGT-7A
Used for filing the annual return containing company, shareholding, director, and governance-related details.
In simple terms:
- AOC-4 = Financial Statements Filing
- MGT-7 / MGT-7A = Annual Return Filing
Both are mandatory annual compliance forms and should be filed accurately and within the prescribed time.
Due Date for Filing AOC-4
For Companies Other Than OPC
Form AOC-4 is generally required to be filed within 30 days from the date of Annual General Meeting (AGM). If AGM is held on 30th September, the normal due date generally falls around 29th/30th October, subject to the manner of calculation and any MCA extension.
For One Person Company (OPC)
Since OPC is not required to hold AGM, AOC-4 is generally filed within 180 days from the closure of the financial year. For a financial year ending on 31st March, the due date generally falls around 27th September.
Due Date for Filing MGT-7 / MGT-7A
MGT-7 for Companies
Form MGT-7 is generally required to be filed within 60 days from the date of AGM. If AGM is held on 30th September, the normal due date generally falls around 29th November.
MGT-7A for OPC / Small Company
For OPC and eligible Small Companies, MGT-7A is filed as the abridged annual return. In case of OPC, since AGM is not held, the due date is generally linked to the applicable annual return timeline and is commonly computed around 60 days from the relevant due date framework applicable to OPC annual return filing.
Important Note on Due Date Extensions
The Ministry of Corporate Affairs (MCA) may extend the due dates for annual filing forms from time to time through general circulars. For example, FY 2024–25 annual filing deadlines were extended through MCA circulars on the V3 portal. Therefore, actual due dates for a particular year should always be checked based on the latest MCA notification applicable for that financial year.
