Every individual holding a Director Identification Number (DIN) is required to keep his or her KYC details updated with the Ministry of Corporate Affairs (MCA). DIR-3 KYC is the compliance mechanism through which DIN holders confirm and update their personal details such as mobile number, email address, and residential address in MCA records.
Pursuant to the latest MCA amendment effective from 31 March 2026, the DIR-3 KYC framework has undergone a major change. The earlier annual KYC requirement has now been replaced with a once-in-every-three-years filing cycle for routine KYC compliance, along with a separate event-based update requirement within 30 days where there is any change in mobile number, email ID, or residential address.

DIR-3 KYC is the MCA compliance process through which a DIN holder confirms or updates his / her KYC particulars in the MCA database.
The KYC details typically include:

This compliance ensures that MCA records remain updated and that the DIN remains active for future use in company filings and director-related compliances.
The MCA has amended Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, and introduced a new DIR-3 KYC regime effective from 31 March 2026. The key changes are:
Earlier, DIR-3 KYC was required every year. Under the new regime, routine KYC filing is required once in every third consecutive financial year for DIN holders covered by the rule. The due date for such routine filing is 30 June of the applicable due year.
The earlier distinction between DIR-3 KYC e-form and DIR-3 KYC Web has effectively been replaced by a single DIR-3 KYC Web filing framework under the amended rules.
Even if the routine 3-year KYC filing is not due, any change in mobile number, email ID, or residential address must be updated through DIR-3 KYC Web within 30 days of the change, along with the prescribed fee. This is a separate event-based compliance requirement and does not reset the 3-year cycle.
Pending draft DIR-3 KYC / DIR-3 KYC Web filings under the earlier regime were to be cancelled from the effective date, and fresh filing is required under the revised framework wherever applicable.
DIR-3 KYC compliance is relevant for individuals holding DIN, including:
✔ Directors of Private Limited Companies
✔ Directors of Public Limited Companies
✔ Directors of One Person Companies (OPCs)
✔ Directors of Section 8 Companies
✔ Individuals holding DIN even if not presently active on a company board
✔ DIN holders requiring reactivation of DIN
✔ DIN holders whose mobile number, email ID, or residential address has changed
DIR-3 KYC may be required in the following situations:
A DIN holder covered under the amended Rule 12A is required to file DIR-3 KYC Web once every third consecutive financial year, within the due date prescribed under the rule.
If there is any change in:
then DIR-3 KYC Web must be filed within 30 days of such change, irrespective of whether the regular 3-year filing is due or not.
Where DIN has been deactivated due to non-filing of KYC, the DIN holder may need to complete DIR-3 KYC compliance for reactivation, subject to payment of prescribed fees and compliance with MCA requirements.
Under the amended rules, routine DIR-3 KYC Web filing is required once every third consecutive financial year and is to be filed on or before 30 June of the applicable due year.
If there is a change in mobile number, email ID, or residential address, DIR-3 KYC Web must be filed within 30 days from the date of change. This filing is separate from the routine cycle.
Many individuals assume that DIR-3 KYC is relevant only if they are currently signing ROC forms. That is not correct.
If a person holds a DIN, the KYC obligation may still apply even if:
✔ the person is not currently involved in day-to-day company filings, or
✔ the company is inactive, or
✔ the individual is not presently signing any ROC forms.
As long as the DIN remains active and the person falls within the applicable KYC requirement, DIR-3 KYC compliance should be tracked properly.

The exact filing requirements may vary depending on whether the filing is for routine KYC, change in particulars, or reactivation of DIN.
We first check whether the filing is for routine 3-year compliance, change in particulars, or reactivation of DIN.
Mobile number, email ID, address proof, PAN details, and other required particulars are collected and reviewed.
If the filing is triggered due to change in mobile / email / address, we identify the event date and ensure filing is prepared within the required time frame.
The KYC filing is prepared on the MCA system with the required personal and contact details.
Where applicable, OTP verification and professional certification requirements are completed.
The DIR-3 KYC Web filing is completed and acknowledgement / compliance confirmation is shared.
Failure to comply with DIR-3 KYC requirements may result in:
✔ DIN being marked as Deactivated due to non-filing of DIR-3 KYC
✔ Inability to use DIN for company appointments and ROC filings
✔ Difficulty in director appointment / resignation / company compliance filings
✔ Additional fee / reactivation compliance burden
As a practical compliance position, DIN reactivation typically requires filing the pending DIR-3 KYC along with the prescribed fee under MCA rules.
