Important Legal Point – Name Change Does Not Create a New Company

A company name change does not create a new legal entity.

The company continues with the same:

Pre-Conditions for Company Name Change

Before initiating a company name change, the following should be checked:

Step-by-Step Procedure for Company Name Change

Step 1 – Name Availability Check

The proposed company name is reviewed for availability and legal acceptability under MCA naming rules and trademark considerations.

Step 2 – Board Meeting for Approval of Proposal

A Board Meeting is held to approve the proposal for name change, approve the proposed names, and authorise filing of name reservation application and convening of shareholders’ meeting.

Step 3 – Name Reservation with MCA

Application for reservation of the new company name is made through the relevant MCA process (such as RUN / SPICe+ name reservation route, as applicable).

If the name is approved, it is reserved for the company for the prescribed period.

Step 4 – Shareholders’ Approval by Special Resolution

After name approval, the company passes a Special Resolution in a General Meeting / EGM to approve the change of name and alteration of the Name Clause of MOA and corresponding provisions of AOA.

Step 5 – Filing of MGT-14

The Special Resolution passed by the shareholders is filed with ROC in Form MGT-14 within the prescribed timeline along with the resolution and altered constitutional documents.

Step 6 – Filing of INC-24

Application for approval of company name change is filed with ROC / MCA in Form INC-24 along with the prescribed documents and approvals.

Step 7 – Issue of Fresh Certificate of Incorporation

Upon approval of the name change, ROC issues a Fresh Certificate of Incorporation in the new name. From this point, the company is legally recognized by its new name.

Used for reservation / approval of the proposed new company name.

MGT-14

Filed for the Special Resolution approving the name change and alteration of MOA / AOA.

INC-24

Filed for obtaining Central Government / ROC approval for change of name.

The exact filing route may vary based on MCA portal process applicable at the time of filing.

Time Limits for Company Name Change Filings

The relevant filings should be completed within the prescribed time after the resolutions / approvals.

As a practical reference:

  • MGT-14 is generally filed within 30 days of passing the Special Resolution.
  • INC-24 is filed after completion of shareholder approval and within the practical validity period of the approved name / resolution framework.
