What's included:
A Director Identification Number (DIN) is a unique identification number issued by the Ministry of Corporate Affairs (MCA) to an individual who wishes to become a director in a company. DIN is mandatory for appointment as a director in any company registered under the Companies Act, 2013.
Whether you are joining a private limited company, public limited company, one person company (OPC), Section 8 company, or any other company structure, obtaining a DIN is a critical compliance step before or at the time of appointment as director, depending on the mode of appointment.
At CLEANFILINGS, we assist individuals and companies with end-to-end support for DIN allotment through DIR-3, documentation, DSC support, and MCA filing compliance.
DIN stands for Director Identification Number. It is an 8-digit unique number allotted by the Central Government through the Ministry of Corporate Affairs to an individual intending to be appointed as a director of a company.
DIN remains valid for the lifetime of the individual, unless surrendered or deactivated in accordance with applicable law.
Once allotted, the same DIN can be used by the individual across multiple companies where he or she is appointed as director.
Form DIR-3 is the MCA e-form used by an individual to apply for allotment of a Director Identification Number (DIN), in cases where DIN is not being obtained through the company incorporation process.
DIR-3 is generally relevant when:
✔ A person is proposed to be appointed as director in an existing company, and does not already have a DIN
✔ DIN is required separately after incorporation for appointment of a new director
✔ The applicant needs a DIN for directorship-related compliance in an existing company structure
For first directors in a new company, DIN may often be applied through the incorporation form itself, depending on the incorporation route and MCA filing structure.
DIR-3 / DIN allotment may be required by:
✔ Individuals proposed to be appointed as directors in an existing Private Limited Company
✔ Individuals proposed to be appointed as directors in an existing Public Limited Company
✔ Individuals proposed to be appointed as directors in an OPC
✔ Individuals proposed to be appointed as directors in a Section 8 Company
✔ Promoters / shareholders planning future directorship in companies
✔ Professionals / investors joining the board of a company
DIN is generally required in the following situations:
If an individual is being appointed as an additional director, director, alternate director, nominee director, or independent director in an existing company and does not already have a DIN.
For proposed first directors, DIN may be obtained through the company incorporation process itself, subject to MCA form structure and eligibility.
Where a company inducts a new director for expansion, governance, investor participation, or compliance reasons.
Where promoters or professionals are appointed to boards of multiple group companies.
DIN is allotted to an individual and not to a company.
This means:
✔ One person can hold only one DIN
✔ The same DIN can be used for appointment in multiple companies
✔ DIN continues with the individual even if he / she resigns from a company
✔ DIN must be kept active through DIR-3 KYC compliance, wherever applicable
The following documents are generally required for DIN allotment:
For foreign nationals / NRIs, additional document and notarisation / apostille requirements may apply depending on the country of residence and document type.
The applicant’s identity proof, address proof, PAN, photograph, and contact details are collected and reviewed for MCA compliance.
A valid Digital Signature Certificate (DSC) of the applicant is arranged / verified, since DIR-3 is filed electronically.
The DIR-3 form is prepared with applicant details, father’s name, date of birth, occupation, present address, nationality, and other prescribed information.
PAN, address proof, photograph, and other supporting documents are attached in the prescribed format.
DIR-3 is certified by a practising professional, as required under MCA filing norms.
The form is digitally signed and filed with MCA.
Upon successful processing and approval, MCA allots the DIN to the applicant.
A valid Digital Signature Certificate (DSC) of the applicant is mandatory for filing DIR-3.
If the applicant does not already have a DSC, it must generally be obtained first before proceeding with DIN allotment.
This is why DIN allotment and DSC services often go hand in hand.
DIN allotment through DIR-3 is generally processed after successful filing and verification of documents by MCA, subject to:
✔ Correct documentation
✔ Proper PAN and personal details matching
✔ Valid DSC
✔ MCA processing timelines
If there is any mismatch in name, date of birth, address, or supporting documents, the application may be marked for resubmission or may face processing delays.
Some of the common issues in DIN applications include:
✔ Name mismatch between PAN and DIR-3
✔ Incorrect date of birth or father’s name
✔ Invalid / unclear address proof
✔ Expired or non-functional DSC
✔ Incomplete attachments
✔ Improper photograph / document format
✔ Defects in professional certification
Professional support helps reduce the risk of such errors.
This is a common area of confusion:
When a new company is being incorporated, DIN for proposed first directors may be obtained as part of the incorporation filing itself.
When an individual is being appointed as director in an existing company and does not already have DIN, DIR-3 is generally used.
So, DIR-3 is especially relevant for post-incorporation director induction.
After DIN is allotted, the individual may be appointed as director in the company through the applicable board / shareholder approvals and ROC filing process.
Depending on the case, the next steps may include:
✔ Director Appointment Resolution
✔ DIR-12 filing for appointment of director
✔ MBP-1 and DIR-8 documentation
✔ Updating statutory registers
✔ DIR-3 KYC compliance in future years
